Founding: The About Us page dates the founding to 2013, when Dave Whorton - previously a founder of four Silicon Valley companies and an investor at two venture and private equity firms - coined the term "Evergreen" and, with the help of Chris Alden, created Tugboat Institute following a small gathering of leaders in Sun Valley, Idaho in October of that year.

Tugboat Institute is a peer organization for chief executives of what it calls Evergreen companies - private, profitable businesses built to last across generations rather than to be sold or floated. It was founded in 2013 by Dave Whorton, a former Silicon Valley founder and venture investor, and is run from Sun Valley, Idaho. Membership is restricted to the chief executive, president or executive chair of a qualifying company, with published tests covering title, ownership, tenure and financials: at least US$10 million in annual revenue, two years of positive cash flow and consistent growth, and an ownership structure in which no owner can force a sale or IPO. Applicants must also have consciously chosen the Evergreen path and commit to the organization's Evergreen 7Ps principles - Purpose, Perseverance, People First, Private, Profit, Paced Growth and Pragmatic Innovation. The core structure is confidential forum groups, either local and in person or virtual, supported by three annual gatherings: a summer Summit in Sun Valley, an autumn Exemplar Visit hosted at a member company, and a February Gathering of Teams for members and senior executives.

How it works

Prospective members complete a pre-application covering company structure, year founded, revenue, employees, years profitable and address; the team reviews it and follows up on next steps. Members join a forum group, either a local in-person forum matched on geography or an "elastic" forum that meets virtually through the year and in person at Tugboat events. Around the forums sit the three annual gatherings, member seminars and Tugboat Talks, and a publishing arm covering the Evergreen Journal, a print quarterly, bi-annual member surveys and whitepapers.

Typical member

Members must lead a closely held private company whose owners have no legal right to compel a sale or flotation, must hold a significant ownership stake themselves, and must have five years as chief executive or president of the current company or prior experience in that role. The company must have at least US$10 million in annual revenue, be cash-flow positive for two years and show consistent growth.

Requirements are the tests the organization itself publishes: an age ceiling, a company-revenue floor, a net-worth minimum, a role. Where a figure straddles a range, the organization's own assessment decides. Local chapters can apply stricter tests than the published standard.

Application process
Candidates who believe they meet the criteria complete a two-step pre-application covering personal details and company information: legal structure, year founded, annual revenue for the last fiscal year, employee count, number of years profitable, website and address. The organization says it reviews every pre-application in detail and that a member of the team then makes contact to discuss next steps. Staff biographies refer to a candidacy process and to working with member referrals.

Independent context

Tugboat Institute is the most ideologically specific organization in this batch: it does not merely prefer private ownership, it requires an ownership structure in which no party can compel a sale, which excludes most private-equity-backed and venture-backed companies regardless of revenue. That makes it a poor fit for founders who want an exit and an unusually good fit for multi-generation family and employee-owned firms. The published criteria are precise and easy to test against, which is rare. What is missing is money and scale: no dues figure and no member count are published anywhere on the site, so cost and the size of the room have to be established through the application conversation. Prospective members should also note that the Best Evergreen Companies list and Evergreen Company of the Year award are run by the same organization that sells membership.
